    1. THE FOOD CLUB SCHEME – TERMS AND CONDITIONS

      The Loyalty Scheme is operated by BaxterStorey Limited, TVP2, 300 Thames Valley Park Drive, Reading, Berkshire RG6 1PT, Registered Number 1962583 (“BaxterStorey” or “we”).

      These Terms and Conditions apply to your participation in, and use of the features on offer by the Loyalty Scheme at the location (“Location”) at which BaxterStorey provides catering services to its clients (which, for the purposes of these terms and conditions, is the “Employer”).

      The Loyalty Scheme enables you to use the Loyalty Card (the “Card”) and/or The Loyalty App (the “App”) for the collection and redemption of loyalty points and to potentially benefit from promotional vouchers (“Vouchers”) at participating Locations. The App and/or the Card will need be registered to your personal account (“Account”) in order to receive the benefit of the loyalty points and Vouchers (if applicable).

      Use of the Card, the App or other features of the Loyalty Scheme will constitute acceptance of these Terms and Conditions which, together with our Privacy Notice, govern our relationship with you in relation to the Loyalty Scheme.

      You must be aged 16 or over to participate in the Loyalty Scheme and access any of the features described above.

    2. 1. GETTING THE FOOD CLUB CARD OR APP

      As an employee of the Employer or another person approved by the Employer, you may hold a Card or may download the App which enables you to participate in the Loyalty Scheme whereby you will collect loyalty points on purchases made at the Location, and potentially also benefit from Vouchers.

      Your Location may be enabled to participate in the Loyalty Scheme via the App alone; or may be enabled for the use of Cards as well.

      THE APP

      The App is free of charge and can be downloaded from the Loyalty Scheme website (the “Website”) at https://terumoaortic.mcr-symphony.net/loyaltyweb/Vascutek.aspx or, if available, via a QR code that may be found on marketing material within your participating Location. Certain mobile devices may not support the App, in which case you will not be able to use it. You will need to register your mobile device against your Account before the App can be used. You can use the App to create a new Account or you can register the App against your existing Account. If you change mobile devices, you will need to register the new device on the Website before using the App in order to access your information. The App is only available with an internet connection and any and all charges incurred during your use of the App are subject to your agreed terms and conditions with your internet or mobile provider.

      Where there is an option to register for a particular area of the App and you choose or are provided with a user identification code, username and/or password, you should treat this information as confidential. Each registration is for a single user only. We reserve the right to disable any identification or password, chosen or allocated, at any time, if in our reasonable opinion we believe you have failed to comply with these terms and conditions. You are responsible for the security of any passwords issued to you.

      The App may be suspended temporarily or permanently and without notice in case of system failure, maintenance or repair or for other reasons beyond our control. We reserve the right to make changes to the App from time to time, to include the removal, modification and/or variation of any elements, features or functions of the App.

      Other than personal information covered under our Privacy Notice, any material you post to the App (where this is possible) shall not be confidential. We shall be free to copy, disclose, distribute, incorporate and otherwise use any material and data, images, sounds, test and other material embodied in the posting or upload for any purpose. You must not post any material on the App that is threatening, offensive, discriminatory, blasphemous, in breach of confidence or privacy or any material that could cause any harm to the App through the use of viruses, logic bombs, malicious software, worms or any similar technical misuse of the App. Any misuse shall be disclosed to law enforcement authorities at our discretion.

      THE CARD

      If your Location is enabled to use Cards for participation in the Loyalty Scheme, this may be either your Employer’s ID Card or a general scheme card.

      Company ID Cards: If your Location enables the Loyalty Scheme via your Company ID card you will need to know what the ID card number is in order to register it. If in doubt, the department who issued your card will be able to tell you the card number. This is usually the security department. Company ID cards need to be registered on the Website before use.

      General Scheme Cards: If your Location enables the Loyalty Scheme via general scheme cards, you can pick one up free of charge from the Location. General scheme cards do not need to be registered prior to use, but any points accrued prior to registration cannot be redeemed until the Card is registered.

      Your Card is not a credit or charge card and remains the property of BaxterStorey or the Employer (as agreed between those parties). The Card must not be sold or traded in any way. You must not loan your Card to any other person, it is for your exclusive use.

      You may only use the Card and/or the App at your Employer’s Location(s). The Card may not be used at sites of our other clients that are participants in similar Loyalty Schemes. If your Employer has multiple Locations which are participants in the Loyalty Scheme, the use of your Card and/or the App at multiple Locations will be subject to our approval (as agreed with the Employer).

      IMPORTANT POINTS TO NOTE IN RELATION TO YOUR APP / CARD

      You may cancel your Card and/or delete your App at any time but if you do so, you may forfeit the right to any points that have accumulated on your Account that have not been used. We may ask you to return or destroy the Card and/or delete the App in accordance with our instructions.

      If your smartphone with the App is lost or stolen or if your Card is lost or stolen, you must notify us of this via the email address set out below in paragraph 5 (General). BaxterStorey will not be liable for any resulting loss of points or Vouchers.

      We reserve the right to reject any Cards that become unreadable and also to refuse to redeem any points or Vouchers which have been acquired where the Card has, or the balance of points have been acquired, or is suspected to have been acquired, via theft, fraud or any other means that are not in accordance with our Terms and Conditions. If your Card is lost or stolen, BaxterStorey will not be liable for any resulting loss.

    3. 2. YOUR LOYALTY POINTS

      If you choose to use a combination of the Card and the App, points collected will be accrued to one Account if the Card and App are correctly registered to that same Account. Loyalty points can be accrued and redeemed against certain purchases made at the Location(s). We reserve the right to restrict the products against which loyalty points may be redeemed at our discretion (and as may be advised to us by the Employer). Please ask a BaxterStorey employee at the Location for more information. Points cannot be accrued or redeemed against any functions. The points will be earned at the time of purchase, provided the Card or the App is presented at the point of sale. If the loyalty terminal is not working and/or if our systems are down due to an event beyond our control, you should still be able to accrue points. However, we will not be responsible for any loss suffered by you in such circumstances particularly if you are unable (in these circumstances) to collect or redeem points against your current transaction. If you forget your Card or the App we cannot add points to your Account at a later date. Points will accrue on the entire transaction (provided no excluded items are being purchased). Points can only be collected against purchases where a till and card reader is present. An Account can hold an unlimited number of loyalty points. You can check how many points you have and also redeem points at the Location. You can also check the number of loyalty points you have collected by visiting the App and/or the Website. You will earn a specific number loyalty points for each complete pound (£1) spent as may be advised to you at the Location. We may, however, change the number of points you can collect and will display notices at the Location, should that happen. You will only be able to redeem your loyalty points against purchases made at the Location(s), each point has a redemption value of 1 pence (1p). The number of points used will be deducted from your Account. When using your points to make a part of full payment, all available points must be redeemed against the purchase. If you have a discrepancy regarding the number of points on your Account, we may require you to provide receipts as proof of purchase to back up any claim. If the evidence is satisfactory (to us), we will change the points allocated to the applicable Account to reflect the correct position. We will not exchange points for cash and reserve the right to remove from your Account any points that have not been redeemed for over 12 months.

    4. 3. CASHLESS SYSTEM

      At participating Locations, your Card / App may also be used for a Cashless System. You can ask at the Location(s) whether the Location offers a Cashless System. To use the Card / App for the Cashless System, the Card/App will need to be registered prior to use by visiting the Website. There is no minimum amount that can be loaded on to your Account and it is your responsibility to ensure that the figure entered for authorisation is correct. The Card can be topped up online using a credit or debit card and sometimes manually at your Location. You can check your balance online via your Account or at the Location. There is also the ability to auto top up your Account from a nominated credit or debit card. You can choose the minimum and top up values on your Account, and the nominated credit or debit card will be charged automatically back to the top up value when the balance on your Account falls below the minimum value. You will only be able to redeem your pre-paid credit against future purchases at participating Locations of your Employer. The transaction total will be deducted from the balance on your Account. By using the Cashless System, you will still automatically accrue loyalty points on your Account on valid purchases made. You can cancel your Card by returning it at the Location. However, if you do so, you will forfeit any remaining monies on your Card where your balance is less than £10. If your balance is over £10, please contact us at thefoodclub@baxterstorey.com for a refund. Please note that refunds will be subject to a £10 administration fee which will be deducted from the remaining balance on your Card.

    5. 4. CLICK AND COLLECT

      At participating Locations, you may be able to order certain products online, with products to be collected by you from the Location via the Click & Collect system. You will collect loyalty points on purchases made via the Click & Collect system. If you would like to use the Click & Collect system, you will need to be registered with an Account. Payments may be made using any of the methods listed at our checkout screen, which may include paying online at the time of booking or at the time of collection via normal methods of purchase available at the Location (which may include the Card or App or Cashless System). The acceptance of orders for the products shall be at the entire discretion of BaxterStorey. Our acceptance of an order occurs when you receive an on-screen message confirming your order has been placed. Up until this point, we may decline to provide you with the products without giving any reason. In the unlikely event that the goods ordered are not available, you may choose equivalent product(s) of the same value or we will refund any amounts already paid by you. Unless otherwise stated in writing the prices quoted by BaxterStorey on the Website are inclusive of VAT and any other applicable taxes.

    6. 5. GENERAL

      BaxterStorey can cancel or withdraw the Card, the App and/or the Loyalty Scheme (whether in relation to your Employer or generally) for any reason at any time. In such circumstances, we will endeavour to provide you with as much written notice as possible. We may also change these Terms and Conditions as is necessary by updating them on our Website. You should therefore check the Website from time to time to review these Terms and Conditions, because they are binding on you. Any graphics, artwork, information, trademarks, audio or video (the “Intellectual Property”) are either our property or licensed to us by a third party. You may only use the Intellectual Property for your personal non-commercial use, unless you otherwise have our prior written approval. We shall not be responsible or held liable for any default or event arising directly or indirectly from any cause or event beyond our control. To the extent permitted by law, but excluding liability for death or personal injury caused by our negligence, fraud or misrepresentation, we will not be liable for any amount or kind of loss or damage that may result to you or a third party (including without limitation, any direct, indirect, punitive or consequential loss or damages, or any loss of income, profits, goodwill, data, contracts, use of money, or loss or damages arising from or connected in any way to business interruption, and whether in tort, contract or otherwise) in connection with the App, Cards, Website or the Loyalty Scheme, including but not limited to loss or damage due to viruses that may infect your computer equipment, software, data or other property on account of your access to, use of, or browsing the App, the Website or otherwise connected with the Loyalty Scheme. To the extent that we may be liable, our aggregate liability to you shall not exceed the amount directly paid by you to participate in the Loyalty Scheme. We do not accept any responsibility for any errors or omissions on the App and/or the Website and we may make changes to the Material on the App and/or the Website in our sole discretion. In particular, we do not represent nor warrant that the App and/or the Website will be error free, free of defects or harmful components, or that defects will be corrected. We may transfer the benefits of these Terms and Conditions to a company in the same group as BaxterStorey and if we do so, your rights will not be affected in any way. These Terms and Conditions are governed by English law and subject to the non-exclusive jurisdiction of the English Courts. Please retain these Terms and Conditions for your records.     7. THE FOOD CLUB - PRIVACY POLICY

      THE FOOD CLUB IS COMMITTED TO PROTECTING AND RESPECTING YOUR PRIVACY. This policy sets out the basis on which any personal data we collect from you, or that you provide to us, will be processed by us. Please read the following carefully to understand our views and practices regarding your personal data and how we will treat it. We keep certain basic information when you visit our website or app or do business with us and we recognise the importance of keeping that information secure and letting you know what we will do with it. The Food Club is part of BaxterStorey Limited, whose registered office is TVP2, 300 Thames Valley Park Drive, Reading, Berkshire, RG6 1PT, registered in England and Wales with company number 01962583. INFORMATION WE MAY COLLECT FROM YOU We collect the following information about you when you are a member of The Food Club: • Information that you provide by filling in the registration form on our website or app. • Details relating to your purchases and your use of, and membership with, The Food Club. • Information that you provide through any manner of correspondence with us or in relation to The Food Club, including a record of that correspondence. • Information that you provide us if you report a problem with our website or app. • Feedback that we may ask you to complete from time to time for research purposes (although you do not have to respond to them). • Details of your visits to our website and app including, but not limited to, traffic data, location data, weblogs, operating system, browser usage and other communication data, whether this is required for our own billing purposes or otherwise and the resources that you access.

    8. IP ADDRESSES

      We may collect information about your computer or mobile, including where available your IP address, operating system, traffic patterns, related website information and browser type, for system administration and to report aggregate information to any third parties for marketing, advertising, auditing usage or other promotional purposes. This is statistical data about our users' browsing actions and patterns, and does not identify any individual and we will not collect personal information in this way.

    9. COOKIES

      We want to ensure that The Food Club website and app are efficient and reliable for you to use and we use cookies to do so. A cookie is a small file which is placed on the hard drive of your computer when you visit our website (directly or via our app) to obtain information about your general usage of it. We use cookies for purposes which may include: • identifying you as a member of The Food Club; • eliminating the need for you to re-enter your Food Club login details; • enabling you to move more easily around our website and app; • tracking your use of our website and app to better develop both of these in accordance with your requirements; and • building up an anonymous profile based on your browsing patterns across our website and app, which enables us to make content available to you that is more relevant to your interests. You can delete cookies from your hard drive at any time. Bear in mind, though, that if you delete them, any settings such as a stored username and password will have to be reset when you next log in. You can also alter your browser to prevent your computer from accepting cookies. These settings are usually found in the "options" or "preferences" menu of your browser. You will be able to use our websites and applications even if your browser is not set to accept cookies, however, certain features and content may not be available to you and you will have to log in every time you visit.     10. WHERE WE STORE YOUR PERSONAL DATA

      The data that we collect from you will be stored by one of our suppliers at a data centre within the United Kingdom. We will take all steps reasonably necessary to ensure that your data is treated securely and in accordance with this privacy policy and the Data Protection Act 1998. Unfortunately, the transmission of information via the internet is not completely secure. Although we will do our best to protect your personal data, we cannot guarantee the security of your data transmitted to our website; any transmission is at your own risk. Once we have received your information, our supplier will use strict procedures and security features to try to prevent unauthorised access or loss. You will be responsible for keeping the password used to access your account under The Food Club website confidential. We ask you not to share a password with anyone. If you need to reset your password at any time, you can do so by going to your Account Details on our website.

    11. USES MADE OF YOUR INFORMATION

      We use information held about you in the following ways: • To manage your account with The Food Club and provide you with our services. • To provide you with information, products or services that you request from us or which we feel may interest you, where you have consented to be contacted for such purposes. • To ensure that content from our website and app is presented in the most effective manner for you. • To notify you about changes to our services.

    12. DISCLOSURE OF YOUR INFORMATION

      We may disclose your personal information to third parties: • In the event that we sell or buy any business or assets, in which case we may disclose your personal data to the prospective seller or buyer of such business or assets. • If we are under a duty to disclose or share your personal data in order to comply with any legal obligation. This includes exchanging information with other companies and organisations for the purposes of fraud protection and credit risk reduction.

    13. ACCESS TO YOUR INFORMATION

      You have the right to request a copy of the information that we hold about you. If you would like a copy of some or all of your personal information, please contact us using the details listed below. Any access request is subject to a fee of £10 (cheques to be made payable to BaxterStorey Limited) to meet our costs in providing you with details of the information we hold about you.

    14. LINKS TO OTHER WEBSITES

      If you leave The Food Club website or app via a link or otherwise, you will be subject to the privacy policy of that website provider. We have no control over that policy or the terms of that website so please carefully check the policy and terms before continuing to access the website or providing any personal data to them. We do not accept any responsibility or liability if you leave our website. The Food Club does not process any payments or store any payment information itself. When you go to make a payment on our website or app, you will be transferred to a third party payment service provider and no details will be recorded by us. Any payment transactions made with our provider will be encrypted and subject to appropriate security measures.

    15. UPDATING AND CORRECTING YOUR INFORMATION

      We want to ensure that your personal information is accurate and up-to-date. If any of the information that you have provided to the Food Club changes, for example if you change your email address, you will be able to change these details by going to your Account Details on our website.

    16. CHANGES TO OUR PRIVACY POLICY

      We keep this policy under regular review. Any changes we may make to our privacy policy in the future will be posted on this page. Please check this page regularly to keep up to date with any necessary changes.
